Acceptance of Terms

By accessing or using Connect (“Connect,” “we,” “us”), you agree to these Terms of Service (“Terms”). If you do not agree, you may not use the platform.

These Terms apply to all use of Connect’s software, dashboard, APIs, integrations, and related services (the “Service”).

What Connect Provides

Connect is a software platform that enables ticket sellers to:

• Manage and synchronise inventory across multiple sales channels
• Automate pricing strategies
• Access performance analytics and market intelligence
• Reconcile finance data through third-party integrations (including accounting APIs)

Connect is not a ticket marketplace and does not act as the merchant of record for third-party marketplace sales unless explicitly agreed in writing.

Your Responsibilities

By using Connect, you confirm that:

• You lawfully own or control the ticket inventory you manage
• You comply with all applicable laws and marketplace rules
• You maintain valid relationships with connected sales channels
• All data you provide is accurate

You remain fully responsible for your pricing, inventory, financial reporting, and marketplace compliance.

Sales Channels & Payments

Connect integrates with third-party marketplaces and sales platforms.

• You retain ownership of your sales channel relationships
• Payouts from marketplaces are made directly to you
• Connect does not control third-party marketplace policies or actions
• You are responsible for compliance with each connected platform

Fees & Invoicing

Connect operates on an invoice-based billing model.

• Fees (usage) will be set out in your commercial agreement
• Invoices are issued according to agreed billing cycles
• Payment terms are as stated in your agreement (e.g., Net 14 / Net 30)
• Late payments may result in suspension of service

All applicable taxes are your responsibility unless otherwise stated.

SaaS Availability & Service Levels

Platform Availability

Connect targets 99.5% monthly uptime, excluding:

• Scheduled maintenance (with reasonable notice)
• Emergency maintenance
• Third-party API or marketplace outages
• Force majeure events

Service Levels (SLA)

Unless otherwise agreed in writing:

• Critical system issues: commercially reasonable response
• General support: business-hours response

API & Usage Limits

Use of Connect APIs and integrations is subject to reasonable usage limits to ensure platform stability.

Connect reserves the right to:

• Apply rate limits
• Throttle excessive traffic
• Suspend API access in cases of abuse or security risk

Automated Tools & Data

Connect provides pricing automation, analytics, and financial reporting tools.

You acknowledge that:

• Automated pricing rules are configured by you
• Market data is sourced from third parties and may not be error-free
• Connect does not guarantee revenue outcomes

You remain responsible for monitoring your commercial strategy.

Prohibited Use

You may not use Connect to:

• Manage fraudulent or counterfeit tickets
• Circumvent marketplace rules
• Engage in unlawful activity
• Reverse engineer or disrupt the platform
• Attempt unauthorised access to other accounts

Violations may result in immediate suspension or termination.

Intellectual Property

All software, branding, and technology remain the property of Connect.

You may not copy, modify, distribute, or reverse engineer any part of the platform.

Limitation of Liability

To the maximum extent permitted by law:

• Connect is not liable for indirect or consequential damage

Connect is not responsible for disputes between sellers, buyers, marketplaces, venues, or event organisers.

Termination

We may suspend or terminate your account if:

• You breach these Terms
• You engage in fraud or illegal activity
• You fail to pay invoices

Upon termination, your access to the Service will cease.

Changes to Terms

We may update these Terms from time to time. Continued use of the platform constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the United Arab Emirates.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Service, you consent to the collection and use of your information as described in our Privacy Policy.
